Terms and conditions of sale.
Sale of computer hardware and the services that come with it. They apply to the SOKKAN Anchor range and to any machine built to order by Ninabot Sàrl.
1. Parties and scope
The seller is Ninabot Sàrl, c/o Openest coworking SA, Chemin de Riantbosson 19, 1217 Meyrin, Switzerland, company no. CHE-287.575.522 (“Ninabot”). The buyer is the company or sole trader named on the order (“the customer”).
These terms govern every sale of hardware by Ninabot, together with the installation, commissioning and training that accompany it. They prevail over the customer’s own purchasing terms unless agreed otherwise in writing. Subscription services (SOKKAN Care, Payeh, Nina) are governed by clause 15 and by their own terms.
2. Offer, order and formation of contract
The descriptions published on this site are information, not binding offers. The contract is formed when Ninabot confirms the order in writing, after the deposit has been paid and the scoping call under clause 8 has taken place.
Machines are built to order: components are purchased after confirmation. Ninabot may decline an order, in particular where the requested configuration does not match the use the customer has described.
3. Prices
Prices are in Swiss francs (CHF), excluding tax. Swiss VAT of 8.1% is added for deliveries within Switzerland. Published prices are valid on the day of the order; they reflect a component market that moves quickly.
If, between confirmation and the purchase of components, sourcing costs rise by more than 10%, Ninabot will say so and offer either the same price on an equivalent configuration or cancellation with a full refund of the deposit. No increase is imposed unilaterally.
4. Deposit, balance and late payment
A deposit of 20% of the price excluding tax is payable online when ordering. It is deducted from the final invoice.
The balance is invoiced on delivery and payable within 10 days, net. After that date, default interest of 5% per annum accrues automatically (art. 104 Swiss Code of Obligations), without prior reminder. Actual collection costs are borne by the customer.
5. Lead time
The indicative lead time is about six weeks from order confirmation. It depends on component availability at our suppliers and is not a fixed date within the meaning of art. 108 CO unless expressly agreed in writing.
Ninabot informs the customer of any significant delay and its cause. A delay gives rise to no damages and no penalty. If the delay exceeds twelve weeks from confirmation, the customer may cancel the order and receive a full refund of the deposit.
6. Delivery, transfer of risk and retention of title
Within Switzerland, delivery takes place at the agreed location and risk passes to the customer when the machine is handed over.
Outside Switzerland, the sale is ex works (EXW, Meyrin): risk passes to the customer when the machine is made available, or when it is handed to the first carrier. Transport, transport insurance, and export and import formalities are the customer’s responsibility.
The machine remains Ninabot’s property until the price is paid in full. Ninabot may register this retention of title in the register kept at the customer’s domicile (art. 715 Swiss Civil Code); the customer agrees to co-operate.
7. Sales outside Switzerland
Sales outside Switzerland are reserved for business customers (companies, self-employed professionals, institutions). Ninabot does not sell hardware to consumers outside Switzerland.
The customer is the importer of record: they clear customs, pay import duties and taxes, and carry the obligations their country places on the importer. Ninabot provides a commercial invoice, a technical description and, on request, a declaration of origin.
Outside Switzerland, installation and assistance are provided remotely; no on-site intervention is included in the price. Clause 11 sets out how the warranty is performed in that case.
8. Installation, burn-in and training
After the order, Ninabot contacts the customer within 48 business hours to scope the use, the network and the installation site. The customer provides a suitable location, power supply and network access; these prerequisites are communicated in writing before delivery.
Every machine goes through a 48-hour burn-in under load before shipping; the report is handed to the customer.
On-site installation is included in the price in Geneva and the canton of Vaud. Elsewhere in Switzerland it is quoted separately. Outside Switzerland it is done remotely. Half a day of training is included in every case.
9. Cancellation
The customer may cancel the order at any time until the machine ships, without giving a reason, in writing. The deposit is then refunded in full, with no deduction, including where components have already been purchased.
After shipping, cancellation is no longer possible; the warranty and Swiss law apply. As machines are built to order, there is no right of return for convenience after delivery.
10. Inspection and notice of defects
The customer inspects the machine on receipt. Visible defects and transport damage must be notified in writing within 10 days of delivery; hidden defects within 10 days of discovery. Failing that, the machine is deemed accepted as regards those defects (art. 201 CO).
11. Warranty
Ninabot warrants the machine for 24 months from delivery, on new components, against defects in material and assembly.
How the warranty is performed. Ninabot first diagnoses remotely. If a part must be replaced, Ninabot ships one at its own cost; the customer, or their IT contact, swaps it following the instructions provided and returns the faulty part. The parts concerned (graphics card, power supply, memory, drive) are plug-in parts and need no specialist. Within Switzerland, Ninabot may intervene on site. Outside Switzerland, no on-site intervention is included; if the fault cannot be fixed by swapping a part, the customer returns the machine to Meyrin at their own cost, with repair and return shipping borne by Ninabot.
Response. Ninabot answers during Swiss business hours and ships the part within three business days of diagnosis. SOKKAN Care shortens these times (clause 15).
Exclusions. Not covered: normal wear, damage caused by faulty power supply, overheating through obstruction, transport arranged by the customer, unagreed hardware modification, use that does not meet the stated prerequisites, and third-party software and model weights. Where a component manufacturer’s own warranty runs longer than 24 months, it remains available to the customer.
12. Support and remote access
The machine carries a remote management interface (IPMI) and can open an encrypted tunnel to Ninabot. That access is enabled only with the customer’s authorisation and can be revoked by them at any time, with no effect on the warranty — on the understanding that remote diagnosis then becomes impossible and the response times in clause 11 no longer apply.
Ninabot accesses the system, not the customer’s business data, unless the customer expressly asks for it as part of an intervention.
13. Performance and configurations
Published throughput figures are measured on a stated configuration with stated models. They are not a performance guarantee for other models, other context sizes or other workloads.
Where a configuration has not yet been measured in its own right, Ninabot says so in the quote. During burn-in, Ninabot tests the customer’s own scenarios; if a model does not fit, it offers an equivalent model or a larger configuration before shipping.
14. Software and licences
The sale covers the hardware. Software shipped with it remains governed by its own licences: SOKKAN is distributed under the Apache 2.0 licence; Payeh and Nina are separate subscriptions; AI model weights are subject to their publishers’ licences, which the customer undertakes to observe.
No intellectual property is transferred by the sale of the machine.
15. Subscription services
SOKKAN Care (managed operations), the Payeh base and Nina are separate services, billed monthly and terminable under their own terms. None of them is required for the machine to work.
SOKKAN Care includes a guaranteed response within 4 business hours, dispatch of a spare part on the business day following diagnosis and, where appropriate, advance dispatch before the faulty part is returned. Details are set out in the service agreement.
16. Liability
Ninabot is liable for damage caused by its fault. To the extent permitted by law, that liability is capped at the price excluding tax of the machine concerned and does not extend to indirect damage, business interruption, lost profit or lost data.
The customer remains responsible for backing up their data. These limitations do not apply to gross negligence or wilful misconduct (art. 100 CO), nor to product liability.
17. Force majeure and supply
Ninabot is not liable for delay or non-performance caused by circumstances beyond its reasonable control: component shortage or allocation, a supplier’s decision, export restrictions, loss or damage, transport disruption, or a decision by an authority.
If such a circumstance makes delivery lastingly impossible, either party may cancel the order; the deposit is refunded in full, to the exclusion of any other claim.
18. Personal data
Order and invoicing data are processed by Ninabot for the performance of the contract, in accordance with the Swiss Federal Act on Data Protection (FADP). Online payment is operated by Stripe, which processes payment data on its own account. No data is sold on.
19. Miscellaneous
Any amendment to the contract must be in writing. If a clause proves invalid, the remainder stands and the invalid clause is replaced by the one closest to it in economic effect. The customer may not assign the contract without Ninabot’s written consent. Ninabot may amend these terms for future orders; the applicable version is the one in force on the day of the order.
20. Governing law and jurisdiction
The contract is governed by Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and the rules on conflict of laws.
The exclusive place of jurisdiction is Geneva, Switzerland.
